Ownership that endures.

Vinda Holdings is a family office specializing in acquiring profitable B2B and B2C businesses across manufacturing, healthcare and wellness, construction infrastructure and niche-sector software — from owners ready to step back. We are not a fund. There is no hold period, no investor clock, and no plan to resell what we buy.

The difference

Built to hold, not to trade.

Most buyers you will meet are optimising for an exit that has already been promised to someone else. We are not. That single fact changes every term we offer and every decision we make after closing.

01

Independent and entrepreneurial

No investment committee, no fund mandate. One owner-operator making decisions on their own capital and timeline.

02

Disciplined underwriting

Normalized EBITDA across three years, add-backs supported, debt schedule requested up front. We tell you our number before you spend time on us.

03

Continuity for your people

The name stays. The crew stays. The location stays. Customers of fifteen years should not be able to tell that ownership changed.

04

Structure that fits

Full buyout, majority with rollover equity, or a phased transition where you stay on your own terms through an agreed transition period — typically six to twelve months, defined before we sign.

Where we invest

Businesses that make, move, supply or run something essential.

Companies with durable customer relationships, repeat revenue, and earnings that survive the owner leaving. Four sectors, chosen because we can underwrite them honestly.

01

Niche manufacturing & industrial products

Machined and fabricated components, molded and formed parts, engineered materials, assemblies and sub-assemblies. A defensible position in a narrow category beats scale in a crowded one. Proprietary product beats pure contract work; long qualification cycles and tooling already in place are a feature, not a risk.

02

Healthcare, medical & wellness products

Durable medical equipment, device manufacturing and distribution, manufacturers' representation, consumables and sterilization. On the wellness side, supplement and nutraceutical contract manufacturers, personal-care and OTC producers, fitness and recovery equipment makers, and their distributors. We buy the supply chain around care delivery and wellness, not the practice of medicine.

03

Construction-related infrastructure

The products, materials, engineered systems and equipment that supply construction and infrastructure work — manufacturers, fabricators, distributors and rental fleets. We buy the businesses that supply the jobsite, not the ones that staff it.

04

Niche-sector software

Established vertical SaaS serving one industry well — practice management, field service, compliance, scheduling, specialised ERP. We look for recurring revenue, low churn and profitability today, not growth funded by losses. Software where the customer would have to change how they work in order to leave.

What we do not buy

  • Trade and contracting businesses — no field crews, service trucks, or installation labor models
  • Pre-profit companies, startups, and turnarounds
  • Businesses whose real value is the underlying real estate
  • Licenses or certifications held personally by the departing owner
  • Revenue concentrated in one or two customers
  • Anything requiring the seller to stay indefinitely to keep customers
Criteria

What a fit looks like on paper.

Guidelines, not a filter applied mechanically. A business that misses one line and is excellent on the rest is still worth a conversation.

Revenue
$3M – $10MBelow $3M the business usually cannot carry a manager; above $10M we are competing with committed private equity.
Owner earnings
$750K – $2.5MSDE for owner-operated businesses; adjusted EBITDA, after a market-rate salary for whoever runs the business day to day, where a management layer already exists.
Margin
20%+ EBITDA · 30%+ SDESustained across the three years we review. We value consistency over one strong period.
Operating history
5+ profitable yearsStartups, pre-profit companies and turnarounds are outside our scope.
Geography
West Coast, Sun Belt & Southern USStrong preference for businesses within reasonable travel of a commercial airport, or that can be run remotely. Strongest in the Pacific Northwest, where we can be on site regularly. Regions: Pacific Northwest, West Coast and Mountain West (WA, OR, ID, CA, UT); West South Central (TX, OK, AR, LA); East South Central (TN, AL, MS, KY); and South Atlantic (FL, GA, SC, NC, VA).
Situations
Retirement & successionAlso corporate carve-outs, partner buyouts, and owners who want to stay involved in a narrower role.
Structure
Primarily asset purchaseStock purchase in the rare case where licenses, permits or contracts cannot transfer otherwise. Seller notes and rollover equity are available. Earn-outs only when the seller wants one.
Financial records
Accrual preferredThree years of P&L and tax returns, a balance sheet, and an add-back schedule you can defend line by line.
Process

Four steps, and you can stop after any of them.

Confidentiality is the default from the first call. We will not contact your employees, customers, or suppliers without your written consent.

01

Introductory call

Thirty minutes. What you built, why you are considering a sale, and what the outcome needs to look like for your people. No financials required.

Week 1
02

Financial review

Three years of P&L, tax returns, a balance sheet and your add-back schedule under NDA. You receive a written indication of value and the reasoning behind it.

10 business days
03

Site visit & letter of intent

A day at the facility, then price and structure agreed in writing with a 45–60 day exclusivity window. The number in our LOI is the number we intend to close at.

Weeks 3 – 5
04

Diligence, financing, close

Quality of earnings, legal and environmental review, lender approval, and a transition plan written with you. Most of this window is lender timeline rather than ours — our own diligence is substantially done by the LOI. Then a handover as long or short as you want it.

90 – 120 days
For intermediaries

Send the CIM. You will get a real answer.

We respond in writing to every complete package within five business days — including when the answer is no, with the reason. We sign NDAs same-day, we do not shop deals, and we do not submit an LOI unless financing is already lined up behind it.

Current status

Actively acquiring — founding platform

Vinda Holdings is searching for its founding platform business. Capital is committed and SBA and conventional lender relationships are in place.

Contact

If you are thinking about it, the call costs you nothing.

Owners rarely sell twice. Most of the people we talk to are two or three years out and want to understand what the process looks like before committing to anything. That conversation is worth having early, and it stays between us.
